nothing wrong with that cpu and I disagree with some of the above but im not going to rehash the number of core argument.(although I will say this, try playing BF3,BF4-32 or 64 player, and most high player count MMO's with a current dual core and then tell me about the playing experience)

no since in that high priced motherboard, an m5a97 or the gigabyte ud3 model is sufficient and can even overclock decently if you choose.

scrap the psu anc choose one from one of mattb's build list in the 500-600w range.

agree with Dan-h if you can get a 4 core intel chip and descent board in your price range then go for it instead.

oem copies of xp or win7 have been discontinued.
