I've reseated everything, including the CPU... it seems to boot fine if it sits for a while, but then, in 5-6 minutes, just dies.. no shut-down sequence, anything... then, if I try to restart it, no post beep or anything, fans spin, hard drive spins, but nothing...

I've taken out the video card (using on-board video) and nothing changes. Tried each memory stick individually, swapped them, etc...

Help???
Wondering if maybe a goofy sensor on MB that is detecting a high temp and shutting down...wondering if resetting the CMOS would help reset the board? I don't suspect it would hurt anything to try it...but i am really guessing here.
Thanks for trying... it's sitting unplugged with the battery out, now... I'm stumped.
Sounds like either a dying PSU or overheating. When you get a good boot try to observe the temperatures with HWMonitor or a program like that.
New motherboard seems to have solved the problem ... $61 overnighted from Amazon... Maybe he'll use the surge suppressor now... No proof that it WAS a voltage issue, but this is the first mobo I've ever had "go bad"...
A power surge is a MUST for any PC/laptop, electronic components are very fragile and sensitive components when it comes to electricity fluctuations.
